OpenZee Terms of Service

1. Acceptance of Terms
By accessing or using OpenZee ("the Platform," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.
OpenZee is operated by OpenZee LLC, a Florida company.
2. What OpenZee Is
OpenZee is a user-generated review platform where current and former franchise owners ("Reviewers") may submit anonymous reviews of franchise brands. OpenZee does not create, endorse, verify the accuracy of, or take responsibility for the content of user-submitted reviews.
OpenZee is not a franchise broker, consultant, or advisor. Nothing on this Platform constitutes financial, legal, or investment advice.
3. Who Can Use OpenZee
To submit a review, you must:
- Be or have been a franchisee (unit owner) of the brand you are reviewing
- Submit truthful information based on your personal experience
- Complete the verification process as described in Section 6
Anyone may browse published reviews without creating an account.
4. User Reviews - Your Responsibilities
By submitting a review, you represent and warrant that:
- You are or were a franchisee of the brand you are reviewing
- Your review reflects your honest, personal opinion and experience
- Your review does not contain false statements of fact
- Your review does not disclose another person's private or confidential information
- Your review does not violate any applicable law
You understand that submitting a false review may expose you to legal liability. OpenZee is not responsible for claims arising from your review content.
You retain ownership of your review content. By submitting, you grant OpenZee a perpetual, worldwide, royalty-free license to publish, display, and distribute your review on the Platform and in derivative works, such as aggregated reports.
5. Prohibited Content
You may not submit reviews or content that:
- Contains knowingly false statements of fact
- Is defamatory, harassing, or threatening
- Discloses trade secrets, proprietary systems, or confidential franchisor information beyond your personal financial experience
- Impersonates another person or entity
- Is submitted on behalf of a franchisor, franchise development team, or any party with a financial interest in the reviewed brand's reputation
- Is generated or substantially assisted by artificial intelligence without material personal experience underlying it
- Violates any third-party intellectual property rights
OpenZee reserves the right to remove any content that violates these Terms at its sole discretion.
6. Verification
To receive a "Verified Owner" designation, Reviewers must submit a verification document, such as a redacted page of their franchise agreement, confirming ownership of the brand reviewed.
- Verification documents are reviewed by OpenZee staff and deleted within 30 days of verification
- Verification confirms ownership, not the accuracy of review content
- Unverified reviews are published separately and clearly labeled as unverified
- OpenZee does not guarantee the accuracy of any verified or unverified review
7. Anonymity
OpenZee does not publicly display Reviewer identities. However:
- OpenZee may retain account information internally for abuse prevention and legal compliance
- OpenZee will notify Reviewers to the extent legally permissible if compelled by valid legal process to disclose identifying information
- Anonymity is a platform feature, not an absolute legal protection; Reviewers remain responsible for the content they submit
8. Franchisor and Brand Pages
Brand pages on OpenZee are created and maintained by OpenZee. Franchisors may claim their brand page to respond to reviews. Claiming a profile grants no right to:
- Remove, edit, or suppress any review
- Alter aggregate scores or ratings
- Access Reviewer identity information
- Receive preferential treatment in search or display
Franchisors who claim a profile agree to these Terms in full.
9. No Pay-to-Play
OpenZee does not accept payment from franchisors or brands in exchange for:
- Removal or suppression of reviews
- Alteration of ratings or scores
- Preferential placement or promotion of brand pages
Any attempt to influence review content through payment will result in permanent removal from the Platform.
10. Intellectual Property
All Platform design, code, aggregated data, and original content created by OpenZee is owned by OpenZee and protected by applicable intellectual property laws.
You may not:
- Scrape, crawl, or systematically extract review data from the Platform
- Republish or redistribute Platform content without written permission
- Use OpenZee data to train machine learning models without written permission
11. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. OPENZEE DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY REVIEW OR CONTENT ON THE PLATFORM.
NOTHING ON OPENZEE CONSTITUTES FINANCIAL, LEGAL, OR INVESTMENT ADVICE. FRANCHISE INVESTMENT DECISIONS SHOULD BE MADE WITH THE ASSISTANCE OF QUALIFIED LEGAL AND FINANCIAL PROFESSIONALS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENZEE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE PLATFORM OR RELIANCE ON ANY CONTENT PUBLISHED ON IT.
OPENZEE'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED $100.
13. Section 230 Notice
OpenZee is an interactive computer service as defined under 47 U.S.C. Section 230, the Communications Decency Act. OpenZee is not the publisher or speaker of user-submitted review content and is not liable for such content under federal law.
14. Indemnification
You agree to indemnify and hold harmless OpenZee, its officers, employees, and agents from any claims, damages, or expenses, including reasonable attorney's fees, arising from your use of the Platform, your submitted content, or your violation of these Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration in Mount Dora, Florida under the rules of the American Arbitration Association. You waive any right to a jury trial or class action.
16. Changes to These Terms
OpenZee reserves the right to update these Terms at any time. Continued use of the Platform after changes constitutes acceptance. Material changes will be communicated via email or prominent notice on the Platform.
